Terms of Service & Commercial Conditions

1. Identification of the Parties & Scope
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer", "Licensee", or "Purchasing Authority") and Watling Labs (an independent UK software and digital governance studio operated by Alex Watling, England, contact: [email protected]).
By placing an order, completing online checkout, issuing a local government purchase order, or downloading any software, diagnostic proofs, or documentation dossiers provided by Watling Labs, you agree to be bound by these Terms.
2. Merchant of Record & Payment Processing
For direct online card purchases, Lemon Squeezy, LLC operates as the official Merchant of Record. Lemon Squeezy manages global VAT/sales tax compliance, secure PCI-DSS tokenized card processing, and invoice generation on our behalf.
For UK Parish and Town Councils ordering via official Purchase Order, Watling Labs issues direct statutory 30-day BACS invoices payable to our UK commercial clearing account. Payment terms are net 30 calendar days from invoice issue date.
3. Software & Digital Products Licensing
A. AgentStack Pro
• Solo Developer License (£29.00): Grants a non-exclusive, perpetual, worldwide license to deploy AgentStack Pro within one (1) commercial application or client deliverable.
• Commercial & Swarm License (£99.00): Grants an unlimited commercial license across multiple client projects, including subagent swarm coordination capabilities and priority engineering support.
B. UK AGAR Assertion 10 Toolkit & GovA11y Proofs
• Clerk Self-Serve Licence (£39.00): Authorizes use by a single Parish or Town Council for council minute adoption, SAAA auditor submission, and website remediation.
• Agency & Multi-Council Pack (£129.00): Authorizes web agencies and freelance clerks to utilize the templates, checklists, and defense frameworks across unlimited council clients.
C. DistressRadar UK Feed (£49.00 / month)
Subscription services are billed on a recurring monthly cycle. Subscribers receive 5 morning digests per week. Subscriptions may be cancelled at any time prior to the next billing cycle.
4. Statutory Governance & Regulatory Disclaimers
GovA11y Sentinel and the UK AGAR Assertion 10 Toolkit provide automated technical diagnostics, empirical WCAG 2.2 AA testing proofs, and statutory model templates under PSBAR 2018 and the Local Audit and Accountability Act 2014. Watling Labs does not provide formal legal representation or financial audit opinions. The Proper Officer (Clerk) and Responsible Financial Officer (RFO) of each local authority retain statutory responsibility for certifying Section 1 of the AGAR.
5. Intellectual Property & Copyright
All software code, documentation, diagnostic methodologies, algorithms, and design assets remain the intellectual property of Watling Labs and are protected under UK and international copyright laws. Customers may adapt and incorporate provided templates into their internal council policies and client projects in accordance with their purchased license tier.
6. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales, Watling Labs' aggregate liability arising out of or related to any product or service shall not exceed the total fees paid by the Customer for the specific product or subscription during the preceding twelve (12) months. Neither party shall be liable for indirect, punitive, or consequential loss.
7. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
